Do UK Companies Need a Swedish Entity to Trade in Sweden?

Do I need a Swedish legal entity to operate in Sweden, or can I trade from my UK company?

This is one of the first questions we are asked by UK companies entering Sweden — and the real answer depends on your level of commitment to the market.

If you are testing Sweden through cross-border sales, you may not need a local entity immediately. However, once you begin hiring staff, signing contracts locally, or running ongoing operations, the risk of creating a permanent establishment increases.

In those cases, establishing a Swedish limited company is often the most stable and transparent solution. It provides:

  • Clear liability separation

  • Credibility with Swedish customers and banks

  • Simplified VAT, tax, and payroll handling

  • A structure aligned with long-term growth

The key is not only what is legally possible — but what structure supports your strategy. Getting it right from the start prevents unnecessary tax exposure and administrative complications later.
